GENERAL TERMS AND CONDITIONS OF USE OF THE VALLOUREC MEDIACENTER

1- INTRODUCTION – DESCRIPTION OF THE MEDIACENTER 

The Mediacenter (hereinafter referred to as the "Mediacenter" or the "Site") is operated and published online by the company, Vallourec Tubes (hereinafter referred to as "Vallourec" or the "Company").

Throughout the Site, the terms "We", "Our" and "Us" refer to Vallourec and the terms "You", "Your" and "Yours" refer to the User.

The Mediacenter contains digital resources accessible online belonging to Vallourec and/or to which Vallourec has obtained the right of use and to provide from the third-party rights holder of these resources.

You can access free of charge (excluding connection costs) the Mediacenter and certain elements of the Content (as determined by Vallourec) without creating an account or access other content (as determined by Vallourec) by creating an Account in accordance with the conditions defined below.

The Site allows access to view and/or download the Content published online by Vallourec according to the User's categories.

The Content can be viewed/downloaded directly via the web interface.

Nevertheless, the User declares that they are fully informed that the Site/Content are not protected against any form of intrusion including hacking. The User recognizes that it is impossible to guarantee complete security of elements transmitted.

As a result, the Company may not be held responsible for incidents which result from this transmission.

The purpose of these general terms and conditions of use (hereinafter referred to as the "GTC") is to define the conditions for accessing and using the Mediacenter accessible online at the following link: https://www.mediacenter.vallourec.com/

These GTC are intended to inform you, as a User, of your rights and obligations within the context of using the various features offered through the Site.

IMPORTANT: THUS, ANY USE OF THE MEDIACENTER FOR ANY PURPOSE WHATSOEVER NECESSARILY IMPLIES THE UNSERVED ACCEPTANCE BY THE USER OF THESE GENERAL TERMS AND CONDITIONS OF USE.

2- DEFINITIONS

Account: the account created by the User after completing their profile. The opening of an account is subject to the prior approval of Vallourec.

Content: any content accessible on the Mediacenter including but not limited to images, artwork, illustrations, video files, sound, photography, etc.

Username and password: the username and password chosen by the User after opening a personal account on the Mediacenter. For Members, the username and password are those used for their account via their professional email address (SSO account).

Media library: the Mediacenter accessibl at the following address: https://www.mediacenter.vallourec.com

Members: employees of the Vallourec Group.

User: all categories of users of the Mediacenter. Also considered as USERS:

  • any person browsing the Site whether they have created an account or not;
  • a Member.

3- ACCESS TO THE MEDIACENTER

3.1 Access without creating an Account

Anyone browsing the site without creating an Account can only view the Content on the cover page for personal use. Any commercial use, downloading or reproduction are prohibited.

3.2 Access with Account creation

Some services on the Site require specific identification and authorization methods via a Username and Password.

These Usernames and Passwords are confidential, personal, and non-transferable. You are responsible for their management and safekeeping, and for the consequences of their use. You therefore undertake to keep them safe, not to disclose them in any form whatever, and not to allow any other person to use your Usernames and Passwords to access these services.

The User is free to change their information at any time in the "My Account" section.

Vallourec may under no circumstances be held liable for any fraudulent use.

Vallourec reserves the right to close any Account of which the information provided by the User is false, incorrect or outdated.

3.2.1 Member account

A member account allows extended access to the following services:

  • free access to view Content,
  • viewing of all the Content,
  • direct downloading in HD, 
  • download request via a form to be completed beforehand for the "Art

Purchase" file.

Vallourec grants all Members a personal, non-exclusive and non-transferable right to use, publish, download and reproduce the digital resources on the Mediacenter from their Account for the purposes of performing their tasks within Vallourec.

Each Member may download and produce all or some of these digital resources provided they indicate the locations of their use and publications dates in advance.

Before any reproduction of a digital resource, each Member undertakes to respect the associated copyright notice and to check the restrictions concerning their use. 

Any reproduction or representation must include existing copyrights in visible and clear letters alongside the Content. Photo credit, the name of the photographer and/or identification of the image indicated on all artwork, video or other medium must necessarily appear on any reproduction.

If no copyright is attached to the Content, the document must necessarily be marked with the following: "All rights reserved".

The Member undertakes not to misrepresent or damage the integrity of the Content to which they have access and are prohibited from using all or some of this Content in a context that would damage Vallourec and/or the authors/individuals associated with the Content.

Any modification of any nature whatsoever of the Content is prohibited without Vallourec's prior written authorization to be requested from the following address: mediacenter@vallourec.com

3.2.2 Third-party accounts

The opening of an Account is subject to the prior approval of Vallourec.

The User may request to register on the Site via the Registration tab and complete the entire form. The User will receive a confirmation email of their successful registration.

Vallourec reserves the right, at its full discretion, to refuse any Account request, without providing a reason and with or without notification to the User in question.

There are different categories of Users as mentioned below, namely:

  • corporate communications agency,
  • global communications agency,
  • press,
  • service provider,
  • association/partner,
  • photographer.

When creating an Account, the user enters the category to which they belong.

The scope of the rights granted to the User with respect to the Content varies depending on the User category to which they belong.

a) Any user registered under these categories is authorized to:

  • view certain content available in the Mediacenter;
  • submit a free request to download Content in high or low definition specifying the reason for its use, the operating media and the publication date, which must be approved by Vallourec.

By default, any commercial use is prohibited.

Before any reproduction of a digital resource, the User undertakes to respect the associated copyright notice and to check the restrictions concerning their use. 

Any reproduction or representation must include existing copyrights in visible and clear letters alongside the Content. Photo credit, the name of the photographer and/or identification of the image indicated on all artwork, video or other medium must necessarily appear on any reproduction, otherwise Vallourec will be entitled to claim compensation for non-identification.

If no copyright is attached to the Content, the document must necessarily be marked with the following: "All rights reserved"

The User undertakes not to misrepresent or damage the integrity of the Content to which they have access and are prohibited from using all or some of this Content in a context that would damage Vallourec and/or the authors/individuals associated with the Content.

4- DOCUMENTARY PROOF OF PUBLICATION

The User must send Vallourec documentary proof of publication of the Content used.

5- GENERAL OBLIGATIONS:

5.1 Of the User

Within the context of using the Site, each User undertakes not to disrupt public order and to comply with the laws and regulations in force as well as to respect the rights of third parties and the provisions of these GTC.

Each User is under an obligation to:

  • behave fairly and diligently towards the Company and third parties,
  • be honest and sincere when providing information to the Company,
  • use the site in accordance with its purpose,
  • not to distort the purpose of the Site to commit crimes, offenses or infringements prohibited by the Penal Code or any other law,
  • Respect the privacy of third parties and the confidentiality of exchanges.

In terms of the Content, Users undertake to:

  • respect the rights granted according to the User categories;
  • always state the source and rights attached to the Content when reusing all or part of it.

5.2 Of the Company

In the context of making the Site available, the Company undertakes to:

  • strictly comply with the Data Protection Act (loi informatique et libertés), no. 78-17 of January 6, 1978, as amended;
  • not infringe on the rights of third parties, in particular the intellectual property rights of third parties, during the creation and publication of the Content.

The Company is only bound to a best endeavors obligation concerning the accessibility of the Site. The Company is in no way responsible for any interruptions and consequences that may arise for the User or any third party.

The Company reserves the right to suspend, interrupt or limit, without advance notice, access to all or part of the Site, including for maintenance operations and updates required for the proper functioning of the Site and related materials, or for any other reason, including technical.

6- LIABILTY

6.1 General principles

The User is solely responsible for their use of the Content.

Furthermore, the Company does not accept any form of responsibility in the event of:

  • abnormal or unlawful use of the Site,
  • use of the Site not in compliance with or provided for in these GTC,
  • an inability to temporarily access the Site linked to technical maintenance or interruptions related to the nature of the internet network independent from the Company,
  • unsuitability of the Site for the computer hardware and the software used by the User, of which they alone are responsible for assessing compatibility.

It is expressly agreed between the parties that the Company is subject to a general best endeavors obligation and that it is not bound by any obligation to achieve a result or further-reaching best endeavors obligation of any kind.

The User may invoke the responsibility of the Company if they have previously provided notice of an alleged breach by registered letter with acknowledgment of receipt and the Company has not responded within a period of thirty (30) days from receiving this formal notice. In any case, it should be noted that the responsibility of the Company may only be sought in cases of proven misconduct.

Moreover, due to the very nature of the internet network (interconnection of multiple participants independent from one another), nobody can guarantee the overall operation of networks from end to end. Under no circumstances can the Company be held responsible for any damage which it did not cause directly.

The Company cannot under any circumstances be held responsible, whatever the nature of the legal action, for indirect damage of any type whatsoever, including but not limited to any financial or commercial damage, loss of profits, disruption to business, loss of earnings, damage to third parties, or an action brought against the User or the consequences thereof, in connection with these GTC or their implementation. The User is solely responsible for any damage, direct or indirect, material or immaterial, caused by themself or one of their agents to the Company or to third parties due to their use of the Site and the associated features.

Furthermore, the Company does not guarantee that its servers are free of viruses or other dangerous components. It is therefore up to Users to take all appropriate measures to protect their own data and/or software from contamination by any viruses circulating on the internet.

The Company strives to provide the most accurate information possible on the Site. However, the Company cannot be held responsible for omissions, inaccuracies or shortcomings in updates, whether attributable to itself or the third parties that provide it with this information.

6.2 Hosting status

It should be noted that for all Content published by the Company, Agelia will be the host within the meaning of Article 6 I 2) of the Act for trusting the digital economy of June 21, 2004. In this capacity, Agelia undertakes to promptly remove any content clearly unlawful as soon as it becomes aware of it.

Notification of the clearly illegal content may be sent by email by completing a form on the website, www.agelia.com, and by registered letter with acknowledgment of receipt in accordance with the procedure set out by Article 6 I 5) of the Law of June 21, 2004. It is necessary to specify the link to the clearly illegal content and to provide justification.

7- INTELLECTUAL PROPERTY

In general, the User is prohibited from infringing on the intellectual property rights (copyright, rights related to copyright, sui generis right of the database producer, trade mark rights, domain names, etc.) of the Company and/or any third party.

The User recognizes that:

  • the Mediacenter and all its components are the exclusive property of Vallourec,
  • the Content published on the Site is the property of the Company or of third-party copyright holders that have authorized the Company to use and communicate it. 

All of the Site and its content, including but not limited to texts, brands, logos, visual identity, design, photographs, videos, software, databases, downloadable documents, and any other information or medium presented on the Site are protected by their copyright, trademarks or patents or any other intellectual or industrial property right recognized by current law. They are the property of the Company or a third parties that has authorized Vallourec to use them. Any use, reproduction, representation, or modification, using any procedure whatever and on any medium whatever, of all or part of the content of the Site is strictly prohibited for external use without the prior, written agreement of the Company and would constitute a counterfeiting offense. The brands and logos featuring on the Site are trademarks and belong to the Company or to third parties. Any full or partial reproduction or representation, whether as stand-alone items or incorporated into other elements, is strictly prohibited without the prior, express and written agreement of the Company or third parties, as applicable.

The User does not acquire any intellectual property right or any rights other than those granted under Article 3.

In addition, if a User believes that an element of the Content infringes on their intellectual property or image rights, it is their responsibility to notify VALLOUREC, indicating the Content in question and issuing a statement indicating that they are the respective copyright or image rights holder or are authorized to act on behalf of the holder of the rights concerned.

Vallourec undertakes to remove from the Mediacenter and/or render inaccessible any part of the Content that infringes on the copyrights and/or image rights of a person, of which it has been notified.

8- AVAILABILITY OF THE MEDIACENTER.

The Mediacenter is accessible 24 hours a day, 7 days a week, except in cases of force majeure or events beyond the Company's control.

However, an interruption for maintenance or updating reasons required for the proper functioning of the Site and related materials, or for any other reason, may be decided by the Company; the User's access to some or all of the Site may therefore be suspended without prior notice.

The User is informed that the Company may terminate or change the features of the services offered on the Site, at any time, without prior notice and without the User having any recourse against the Company.

9- PERSONAL DATA PROTECTION

The Company undertakes to comply with the applicable rules in this area, notably the French Data Protection Act, no. 78-17 of January 6, 1978, and Regulation (EU) 2016/679 of the European Parliament and Council of April 27, 2016.

10- GENERAL PROVISIONS

These GTC are governed by French law.

The Company reserves the right to update and modify these GTC at any time on the understanding that the GTC in force are those published on the Site at the time the User accesses and browses the Site.

The Company reserves the right to modify or remove all or part of the Content of the Mediacenter at any time at its sole discretion.

The Company has the right to remove the Mediacenter at any time. 

In addition, the Parties declare that these GTC cannot in any circumstances be considered an act constituting any legal person or legal entity whatsoever, and any form of "affectio societatis" is formally excluded from their relations.

In the event of difficult interpreting any of the headings appearing above the clauses, and any of the clauses to which it refers, the headings will be declared non-existent.

If any of the stipulations of these GTC are declared void according to a legislative or regulatory provision in force and/or a court decision that has the force of res judicata, it will be deemed unwritten but will in no way affect the validity of the other clauses that remain fully applicable.

In the event of a dispute relating to the interpretation, execution or termination of these GTC that could not be the subject of an amicable agreement with Vallourec, the latter will be brought before the competent courts, which must be informed thereof.
